TCD #85: Swiss Association

Overview The Swiss Association provides essential technical and administrative services to BadgerDAO. The Association cost structure is unsustainably high relative to the needs and runway of the DAO. To optimize spending while maintaining critical capabilities, this TCD proposes transitioning Association Badger services either directly to the DAO or to a new, streamlined ‘contract manager’ entity depending on the specific provider needs. The goal is to return operational control to the DAO and to return to decentralized principles:

  • Services, where possible, will first be transitioned directly to Treasury Council oversight,
  • If an entity requires a formal contract, an on-chain solution will be sought,
  • Where an entity requires an off-chain relationship, the new contract manager entity will be used,

The contract manager will be required to address shortcomings of the Association and to improve on the operational relationship between the DAO and Association. The entity must:

  • Comply with DAO governance (Snapshots, TCDs and Reporting Requirements),
  • Obtain pre-approval before entering into contracts,
  • Provide complete contract transparency,
  • Transition critical staff and vendor relationships necessary for ongoing DAO operations and development,

Funding for the Swiss Association will end as of June 30, 2025, following the conclusion of Q2-2025 funding.
No additional funding extensions or grace periods are planned.

Decisions for Treasury Council Vote
Each of the following decisions will be subject to an individual emoji vote with each vote being required to pass for the next vote, if passed, to proceed:

1. Authorize engagement with a new Contract Manager,
The Treasury Council shall select a contract manager who will work with the Association to transition contracts

2. Authorize transition of critical staff and vendors to the new entity,
The Treasury Council instructs the Association to designate persons responsible for working with the DAO to jointly create a transition plan for all roles and responsibilities servicing the DAO. Further, the DAO is open to engaging in transition discussions directly with each service provider:

  • A blanket invitation to transition Association service providers will be provided proactively,
  • The Treasury Council will identify a process for creating a transition plan for all required services,

3. Authorize non-renewal of Swiss Association funding beyond June 30, 2025,
This constitutes a decision to cease all funding to the Swiss Association after June 30, 2025, with no extensions or grace periods envisioned. (edited)
